1. Acceptance of Terms
Core Agreement Parameters
By accessing or using the services provided by Idlevo ("Idlevo SaaS"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not use the services. These terms apply to all visitors, users, and others who access or use the Service.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion.
2. Account Responsibilities
Security & Identity Obligations
Accuracy of Information: You must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms.
Credential Security: You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.
Age Requirement: You must be at least 18 years of age to create an account and utilize the consignment features.
3. Usage Rights & Restrictions
Compliance & Fair Use
Permitted Use
Accessing our inventory management tools, generating sales reports, and utilizing our secure API for internal business operations within your organization.
Prohibited Use
Reverse engineering the platform, scraping data for competitive purposes, or attempting to bypass security filters through automated scripts.
4. Termination
Dissolution of Services
We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or submit a formal cancellation request via your dashboard.
5. Limitation of Liability
Risk Allocation
"In no event shall Idlevo, nor its directors, employees, partners, or agents, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses."
6. Governing Law
Jurisdiction
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict-of-law provisions. Disputes shall be resolved in the courts of competent jurisdiction as specified in your enterprise agreement, or otherwise in the jurisdiction where Idlevo operates its primary business.
